Terms of Use

1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the UTTT App mobile application and related services (the “App”), operated by Grocerlist LLC (“we,” “us,” or “our”). By creating an account, downloading, or using the App, you agree to these Terms. If you do not agree, please do not use the App. Continued use after any update means you accept the revised Terms.

2. Eligibility

You must be at least 13 years old to use the App. If you are between 13 and 17, you may use the App only with the permission of a parent or legal guardian, who agrees to be bound by these Terms on your behalf.

3. Description of the Service

UTTT App is a strategy game in which players compete across nine interconnected boards. The App allows you to create an account, play the game, earn Prestige Points through ranked play, and advance through a system of titles and rankings (the “Peerage”).

The App includes social and multiplayer features that allow you to search for other users by username, add them as friends, and create private sessions to play against one another. Additional online and multiplayer functionality is in active development and may be added, changed, or removed over time.

We provide the App as an interactive entertainment service. We do not guarantee uninterrupted availability, specific features, matchmaking outcomes, or the continued operation of any particular mode or feature.

4. Account Registration & Security

To use the App, you must register with a valid email and password and select a username. You agree to provide accurate information, keep it current, and maintain the confidentiality and security of your account credentials. You are responsible for all activity that occurs under your account. We may suspend or terminate accounts that violate these Terms.

5. Usernames & Display Names

When you create an account you choose a username that is visible to other users, including in friend searches, friend requests, invitations, private sessions, and any rankings or leaderboards. You are solely responsible for the username you select and for keeping it compliant with these Terms.

You agree that your username will not, and will not attempt to:

  • contain or reference hateful, harassing, discriminatory, threatening, violent, sexual, or obscene content;
  • promote or reference hatred, harassment, or violence against any individual or group based on race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, age, disability, or any other characteristic;
  • contain slurs, profanity, or offensive language, whether spelled out, disguised, misspelled, abbreviated, encoded, or otherwise obscured;
  • impersonate any other person, user, public figure, or Grocerlist LLC, or falsely suggest affiliation, endorsement, or official status;
  • infringe any trademark, copyright, privacy, or other right of any third party; or
  • otherwise violate these Terms or any applicable law.

Grocerlist LLC reserves the right, in its sole and absolute discretion, to determine whether a username is hateful, offensive, inappropriate, or otherwise in violation of these Terms, and any such determination is final.

Where we determine that a username violates these Terms, we may, at our sole discretion and without liability, take any of the following actions: (a) issue a warning requiring you to select a compliant username within a stated period; (b) require you to change the username; (c) reset, reclaim, or reassign the username; and/or (d) suspend your access to the App pending a compliant change.

If, after a fair warning and an opportunity to correct it, you do not change a username we have identified as violating these Terms, we may permanently suspend and delete your account without further notice, and without any obligation to preserve or restore your account data, progress, Prestige Points, rankings, or titles. Where we determine a violation is severe, we may remove or reclaim the username, or suspend or delete the account, immediately and without prior warning. No refund, restoration, compensation, or appeal is guaranteed as a result of any action taken under this section.

6. Friends, Invitations & Private Sessions

The App allows you to find other users by searching their usernames, send and accept friend requests, and create private sessions to play against friends. By using these features you understand that your username and related activity may be visible to other users you interact with.

You are responsible for your conduct toward other users. We may limit, suspend, or remove access to social and multiplayer features for any user whose conduct we determine, in our sole discretion, to be abusive, harassing, or otherwise in violation of these Terms.

7. Notifications & Communications

With your permission, the App may send push notifications to your device. These may include, for example, alerts for friend requests, accepted friend requests, match invitations, and announcements about new features, updates, or other changes to the App. We may also deliver messages as in-app notifications, which appear within the App whether or not push notifications are enabled.

Push notifications require your device’s permission and are optional; you may disable them at any time through your device settings or the App’s settings. Push notifications are delivered through your device’s operating system and our notification provider, and their availability and timing are not guaranteed.

8. Rankings, Prestige & Titles

The App tracks your activity, including games played, results, and Prestige Points, and uses this information to generate rankings, titles, progress indicators, and other recognition features (collectively, the “Peerage”).

Rankings and titles are calculated using internal algorithms and may change over time. We do not guarantee any specific ranking position, title, or continued visibility. Prestige Points, rankings, and titles are used for engagement and recognition purposes only; they do not constitute currency, property, or guaranteed compensation, and have no cash value.

We reserve the right to adjust, recalculate, reset, or remove Prestige Points, rankings, or titles where we determine, in our sole discretion, that activity is invalid, manipulated, or obtained in violation of these Terms.

9. Advertising & Sponsored Content

The App displays advertisements, including interstitial advertisements shown between or after matches. Where permitted by your consent and device settings, advertising partners may use device identifiers (such as advertising IDs) to deliver and measure advertisements. On iOS devices, you may be asked to grant permission for tracking through Apple’s App Tracking Transparency framework; if permission is denied, ads will still be displayed but may be less personalized.

We do not endorse, guarantee, or assume responsibility for any advertised products, services, or claims made by advertisers. Your interactions with advertisers are solely between you and the advertiser.

10. Subscriptions & In-App Purchases

We may, now or in the future, offer optional paid subscriptions or in-app purchases that provide benefits such as ad-free play, cosmetic items, or other features. Any such offering, its price, its benefits, and its availability are determined solely by us and may be introduced, changed, or discontinued at any time.

Purchases and subscriptions are processed by the applicable app store (such as the Apple App Store or Google Play) and are subject to that store’s terms, billing, and refund policies. Cosmetic items and subscription benefits have no cash value, are not transferable, and confer no ownership or property right. We do not guarantee the continued availability of any purchased item, benefit, or feature.

11. Account Deletion

You may delete your account at any time from within the App. Deletion is immediate and permanent. When you delete your account, everything associated with it — including your profile, username, Prestige Points, rankings, titles, match logs, and match history — is deleted immediately and cannot be recovered.

You are solely responsible for confirming that you wish to delete your account. We are not responsible for accidental or unintended deletions, and we are unable to restore or recover an account or any of its data once it has been deleted.

12. Privacy & Data Handling

We collect limited personal information, such as your email address, username, and activity within the App, to provide and improve our services. This data is stored securely and used for functionality, analytics, and personalization. We may use aggregated, non-identifiable data for insights, performance improvements, and advertising optimization.

13. User Conduct & Prohibited Activity

You agree not to:

  • choose or use a username, or submit any content, that violates Section 5 or any other provision of these Terms;
  • harass, threaten, abuse, or harm other users, or engage in hateful or discriminatory conduct;
  • cheat, exploit bugs, use bots or automation, or otherwise manipulate gameplay, matchmaking, rankings, Prestige Points, or algorithms;
  • attempt to access another user’s account, or scrape, reverse engineer, or interfere with the App or its servers; or
  • use the App for any unlawful, harmful, or abusive purpose.

Violations may result in suspension or permanent removal of your account.

14. Content Moderation & Enforcement

We may, but are not obligated to, monitor, review, or remove usernames or other user activity at our sole discretion. We reserve the right to remove content, restrict visibility, require changes, or suspend or terminate accounts that violate these Terms or that we deem harmful, offensive, or damaging to the platform or its users. We are not responsible for any failure to remove, or delay in removing, any content or username.

15. Intellectual Property & Brand Usage

All trademarks, logos, artwork, and software associated with the App are owned by Grocerlist LLC. You may share screenshots for non-commercial use provided you do not alter or misrepresent the brand. Any commercial use requires our prior written approval.

Game Move Logs

As you play, the App records a move-by-move log of your games — including Player vs Master AI, Player vs Grandmaster AI, and Player vs Player matches (both Friendly and Ranked). These move logs are stored in our database and are publicly visible to other users alongside the usernames of the players involved.

As between you and Grocerlist LLC, all game move logs generated through the App are owned by Grocerlist LLC. To the extent you hold any right in them, you grant Grocerlist LLC a perpetual, irrevocable, worldwide, royalty-free, and transferable license to store, reproduce, display, distribute, analyze, and otherwise use these move logs for any purpose, including running analytics on game strategies, detecting and preventing cheating, verifying ranked results, operating public game history and leaderboards, and developing and improving the App. This license survives deletion of your account with respect to logs already generated, though we may retain such logs in anonymized or de-identified form.

16. Third-Party Services

The App may include or link to third-party services, such as app stores, advertising providers, and notification providers. We are not responsible for the content, policies, or practices of these third parties. Your use of them is at your own risk and subject to their respective terms.

17. Disclaimers & Limitation of Liability

The App is provided “as is” and “as available” without warranties of any kind, whether express or implied. We do not guarantee that the App will be uninterrupted, secure, error-free, or that any ranking, title, match, or feature will function as expected.

To the fullest extent permitted by law, Grocerlist LLC shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of data, loss of account progress, or damages resulting from your use of, or inability to use, the App. Our total liability shall not exceed $100 USD.

18. Indemnification

You agree to indemnify and hold harmless Grocerlist LLC and its operators against any claims, damages, or losses arising from your use of the App, your violation of these Terms, your username, or your conduct toward other users.

19. Termination

We may suspend or terminate your account at any time for violations of these Terms or for actions that threaten the integrity of the App or the safety of its users. You may stop using the App at any time by deleting your account.

20. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of Utah, United States. Any disputes shall be resolved exclusively in the courts of Utah County, Utah. If we relocate, this section may be updated accordingly.

21. App Store Terms

The App is distributed through the Apple App Store and Google Play. Your use of the App must also comply with Apple’s and Google’s respective terms and policies, including those governing purchases and subscriptions.

22. Changes to These Terms

We may update these Terms to reflect new features or legal requirements. Significant updates will be announced through the App or by email. Continued use of the App after updates means you accept the revised Terms.
